These Terms of Service ("Terms") govern your access to and use of nexusgrowth.ai (the "Site"), our SMS messaging program, and the marketing and advertising services provided by Nexus Media LLC, doing business as Nexus Growth ("Nexus Growth," "we," "us," or "our"). By accessing the Site, submitting a form, providing your phone number, or engaging our services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Site or Services.

1. About Us

Nexus Growth is a digital marketing agency providing services including Google Ads management, Meta Ads management, search engine optimization (SEO), and web development to home service contractors and other businesses in the United States.

2. Eligibility

You must be at least 18 years old and authorized to enter into binding contracts on behalf of yourself or the business you represent to use the Site or Services. By using the Site, you represent and warrant that you meet these requirements.

3. SMS / Text Messaging Program Terms

These SMS Terms apply to anyone who provides a mobile phone number to Nexus Growth and consents to receive text messages from us.

3.1 Program Description

Nexus Growth operates an SMS messaging program for the purpose of communicating with prospects and clients regarding inquiries, appointment scheduling, lead follow-up, account updates, billing, and customer care.

3.2 Consent

By providing your mobile phone number on a form on our Site and checking the SMS consent box, you expressly consent to receive recurring text messages from Nexus Growth at the number you provided, including messages sent using automated technology. Consent is not a condition of purchase. Consent is specific to Nexus Growth and is not transferable or assignable to any other sender.

3.3 Types of Messages

You may receive the following types of messages:

• Appointment confirmations and reschedule links
• Follow-ups regarding your inquiry or strategy call
• Account, billing, and service updates (for active clients)
• Customer care responses

3.4 Message Frequency

Message frequency varies based on your interactions with us.

3.5 Message and Data Rates

Message and data rates may apply. Charges are billed by and payable to your mobile carrier and are governed by your carrier plan. Contact your carrier for pricing details.

3.6 Opt-Out

You can cancel SMS messages at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any message you receive from us. After you opt out, we will send a one-time confirmation message and will not send you additional SMS messages, except as required to complete or confirm an active transaction. To opt back in, sign up again as you did originally.

3.7 Help

For help, reply HELP to any message, or contact us at landon@nexusgrowth.ai. We will respond with instructions on how to use the service and how to opt out.

3.8 Carrier Disclaimer

Carriers (including but not limited to AT&T, T-Mobile, Verizon, Sprint, and U.S. Cellular) are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your carrier and is not guaranteed.

3.9 Supported Carriers

Our SMS program is supported by all major U.S. carriers.

3.10 Privacy of Mobile Information

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All categories of personal information collected through our Site exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. 3.11 Accuracy of Phone Number

You represent that the mobile phone number you provide is your own or that you are authorized to provide it and consent to receive messages at that number. You agree to notify us promptly if you change or relinquish your number.

3.12 Indemnification for SMS Violations

You agree to indemnify Nexus Growth against any claims, damages, or fees arising from your provision of an inaccurate phone number, your failure to notify us of a number change, or your unauthorized provision of another person's phone number.

4. Use of the Site

4.1 Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms.

4.2 Prohibited Conduct

You agree not to:

• Use the Site in any way that violates applicable law or regulation
• Attempt to gain unauthorized access to the Site, our servers, or related systems
• Use the Site to transmit malware, viruses, or harmful code
• Scrape, data-mine, or use automated tools to extract data from the Site without our written permission
• Impersonate any person or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the operation of the Site or its security features
• Use the Site to engage in any fraudulent, deceptive, or harmful activity

4.3 Account Security

If you create an account or client portal login, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at landon@nexusgrowth.ai of any unauthorized access.

5. Services and Engagements

5.1 Service Agreements

Specific marketing services (Google Ads, Meta Ads, SEO, web development) are governed by a separate signed service agreement or statement of work between you and Nexus Growth. These Terms apply to your general use of the Site and the SMS program; in the event of a conflict between these Terms and a signed service agreement, the signed service agreement controls for the subject matter it covers.

5.2 Performance Guarantees

Any performance guarantees (e.g., booked estimates, lead volume) are governed exclusively by the terms of the applicable signed service agreement and not by these Terms or any marketing material on the Site. Marketing claims on the Site are illustrative and do not constitute binding promises absent a signed agreement.

5.3 Fees and Payment

Fees for services are set out in the applicable signed service agreement. Recurring retainers are billed in advance. Payment is generally processed via ACH bank transfer through our payment processor (Stripe). Late payments may result in suspension of services and a late fee as set forth in the applicable agreement.

5.4 Third-Party Platforms

Our services involve operating accounts on third-party platforms including Google Ads, Meta (Facebook/Instagram), Google Search Console, and others. You are responsible for complying with the terms of service of those platforms. Nexus Growth is not responsible for actions taken by those platforms (including account suspensions, ad disapprovals, or policy changes) that are outside our control.

6. Intellectual Property

6.1 Our Content

The Site and all content on it (including text, graphics, logos, images, and software) are owned by Nexus Growth or our licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Site without our prior written consent.

6.2 Your Content

If you submit content to us (form responses, materials provided for a service engagement, etc.), you grant Nexus Growth a non-exclusive, royalty-free, worldwide license to use that content solely for the purpose of providing the Services and operating our business.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Site or Services may be used by Nexus Growth without obligation or compensation to you.

7. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses. We do not guarantee specific marketing results except as expressly set forth in a signed service agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS GROWTH AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, THE SMS PROGRAM, OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SMS PROGRAM IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO NEXUS GROWTH IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nexus Growth and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any inaccurate or unauthorized phone number you provide for the SMS program.

10. Termination

We may suspend or terminate your access to the Site or SMS program at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, the provisions of these Terms that by their nature should survive (including Sections 3.10, 6, 7, 8, 9, 11, 12, and 13) will survive.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to its conflict of laws principles.

11.2 Venue

Subject to Section 11.3, any dispute arising out of or related to these Terms, the Site, or the SMS program will be brought exclusively in the state or federal courts located in Hamilton County, Indiana, and you consent to the jurisdiction of those courts.

11.3 Informal Resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting landon@nexusgrowth.ai. We will attempt to resolve the dispute by communicating with you in good faith. If a dispute is not resolved within 60 days, either party may pursue formal legal action.

11.4 No Class Actions

To the extent permitted by law, you and Nexus Growth agree that any dispute will be resolved on an individual basis only, and not as part of a class, consolidated, or representative action.

12. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. If we make material changes, we will notify you by email or by posting a prominent notice on the Site. Your continued use of the Site or Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, your sole remedy is to stop using the Site and Services and reply STOP to opt out of SMS.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any signed service agreement, constitute the entire agreement between you and Nexus Growth regarding the Site and SMS program.

13.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Nexus Growth.

13.6 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet outages, or third-party platform failures.
